1. About Klane

The Platform is operated by Klane Enterprise Private Limited (“Klane”, “we”, “our”, or “us”), a company incorporated in India under the Companies Act, 2013, with its registered office at 6, Third Floor, F-15, Block-F, DLF Phase-1, DLF QE, Gurgaon – 122002, Haryana, India.

Klane is registered as an E-Commerce Operator under the Goods and Services Tax (GST) laws of India. We operate an online marketplace that connects independent fashion brands with customers across India.

2. The Marketplace Model

Klane is a marketplace. When you buy something on the Platform, the contract of sale for that product is directly between you and the brand that sells it. Klane facilitates the listing, discovery, ordering, payment, and fulfilment experience, but Klane is not the seller or manufacturer of the products listed on the Platform.

This means:

• The tax invoice for your order is raised by the brand directly in your name.
• The brand is responsible for the quality, authenticity, and legal compliance of its products.
• Klane coordinates the customer experience, including payments, delivery tracking, returns, refunds, and support, under the policies published on the Platform.

3. Eligibility

You must be at least 18 years old and legally capable of entering into a binding contract under Indian law to place an order on the Platform. If you are under 18, you may use the Platform only with the involvement and consent of a parent or legal guardian.

By placing an order, you confirm that the information you provide — including your name, address, contact details, and payment details — is accurate and complete.

4. Your Account

Some features on the Platform require you to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Please notify us immediately if you suspect any unauthorised use.

We may suspend or close accounts that we reasonably believe are being used for fraud, abuse, or in violation of these Terms.

5. Products and Listings

Product images, descriptions, size charts, fabric details, and other information on the Platform are provided by the brand. We make reasonable efforts to ensure accuracy, but slight variations in colour, texture, or finish may occur due to photography, lighting, or screen differences.

Availability of any product is subject to stock. In rare cases, a product may become unavailable after you place the order. If that happens, we will cancel the affected item and process a full refund.

6. Pricing

All prices on the Platform are displayed in Indian Rupees (INR) and are inclusive of applicable taxes, unless stated otherwise. Shipping charges, if any, are shown separately at checkout before you confirm your order.

We make reasonable efforts to ensure that prices are accurate. However, if a pricing error is identified after you place an order, we will inform you and offer the option to either confirm the order at the correct price or cancel it for a full refund.

7. Orders and Payment

When you place an order, we treat it as an offer to buy the selected products. An order is confirmed only when we send you an order confirmation email or SMS. Klane reserves the right to decline or cancel an order at its discretion — for example, in cases of suspected fraud, stock unavailability, or a pricing error.

We accept payment through the methods listed on the checkout page, including UPI, credit and debit cards, net banking, wallets, and our Partial COD option. All online payments are processed through secure third-party payment gateways; Klane does not store your card details.

8. Shipping, Returns and Refunds

Shipping timelines, delivery procedures, and related charges are governed by our Shipping Policy. Returns, exchanges, replacements, and refunds are governed by our Returns & Exchange Policy. Both policies form part of these Terms and are available on the Platform footer.

9. Intellectual Property

The Platform and all content published directly by Klane — including the Klane name, logo, creative assets, page layouts, editorial content, photography, videos, and software — are owned by or licensed to Klane and are protected under applicable intellectual property laws. You may not copy, reproduce, modify, or distribute this content without our prior written permission, except for personal, non-commercial use.

Brand names, trademarks, logos, product images, and descriptions belong to the respective brands and are used on the Platform with their permission. You may not use brand assets for any commercial purpose without the brand’s consent.

10. User Conduct

When using the Platform, you agree not to:

• Use the Platform for any unlawful, fraudulent, or harmful purpose.
• Post, upload, or transmit reviews, ratings, or content that is false, misleading, defamatory, offensive, or infringes any third party’s rights.
• Attempt to interfere with, disrupt, or circumvent the security or operation of the Platform, including the use of bots, scrapers, or automated tools.
• Use information obtained on the Platform to solicit customers or brands outside of the Platform.
• Impersonate another person or misrepresent your identity.

We may remove content or suspend accounts that violate these rules, and may report serious violations to the relevant authorities.

11. Reviews and User Content

You may be able to post product reviews, ratings, or feedback on the Platform. By doing so, you confirm that the content is your own and based on genuine experience, and you grant Klane a non-exclusive, royalty-free licence to display, use, and share that content on the Platform and in related communications.

12. Privacy and Personal Data

We process your personal data in accordance with the Digital Personal Data Protection Act, 2023, and our Privacy Policy. We share with brands only the minimum information needed to fulfil your order (such as name, delivery address, and contact number). Brands are contractually required to use this information solely for order fulfilment and returns, and not for unsolicited marketing.

13. Third-Party Services and Links

The Platform may include links or integrations with third-party services such as payment gateways, courier partners, and analytics providers. These services are governed by their own terms and privacy policies. Klane is not responsible for the content, availability, or practices of third-party services.

14. Disclaimers

The Platform and its content are provided on an “as is” and “as available” basis. While we take reasonable steps to keep the Platform accurate, secure, and available, we do not guarantee that it will be free from errors, interruptions, or security vulnerabilities at all times.

To the maximum extent permitted by law, Klane makes no warranties of any kind, express or implied, regarding merchantability, fitness for a particular purpose, or non-infringement, beyond what is expressly set out in these Terms and our other published policies.

15. Limitation of Liability

To the maximum extent permitted by applicable law, Klane will not be liable for any indirect, incidental, special, or consequential losses — including loss of profit, revenue, data, or goodwill — arising out of or in connection with your use of the Platform.

Klane’s total liability in relation to any order or claim is limited to the amount actually paid by you for the order giving rise to the claim.

Nothing in these Terms limits or excludes any liability that cannot be limited or excluded under applicable law, including consumer-protection rights.

16. Force Majeure

Klane will not be liable for any delay or failure to perform its obligations where such delay or failure is caused by events beyond its reasonable control — including natural disasters, war, civil unrest, government action, pandemics, strikes, or internet and power outages.

17. Changes to These Terms

We may update these Terms from time to time to reflect changes in our services, legal requirements, or business practices. The updated version will be posted on the Platform with a revised “Last updated” date. Your continued use of the Platform after changes are posted means you accept the updated Terms. For significant changes, we will make reasonable efforts to notify you in advance through email or a notice on the Platform.

18. Governing Law and Disputes

These Terms are governed by the laws of India. We encourage you to reach out to us first if you have a concern — most issues can be resolved quickly through our support team.

If a dispute cannot be resolved informally, it will be referred to binding arbitration under the Arbitration and Conciliation Act, 1996, conducted by a sole arbitrator in English, with Gurugram, Haryana as the seat of arbitration. Subject to arbitration, the courts at Gurugram, Haryana shall have exclusive jurisdiction.
